Welcome to KeystoneWorx (“we,” “our,” or “us”), a software platform owned and operated by Medspa Success. These Terms & Conditions (“Terms”) govern your access to and use of the KeystoneWorx website, platform, and services (collectively, the “Services”).

By creating an account, accessing, or using KeystoneWorx, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

1. Eligibility

- You must be at least 18 years old and able to form a binding contract to use KeystoneWorx. By using the Services, you represent and warrant that you meet these requirements.

2. Account Registration & Responsibilities

- You must provide accurate, complete, and current information during registration.

- You are responsible for maintaining the confidentiality of your account credentials.

- You are liable for all activities that occur under your account, whether authorized or not.

- You must notify us immediately of any unauthorized access or breach.

3. Scope of Services

- KeystoneWorx provides business management tools, including CRM, client communication, lead tracking, scheduling, and analytics.

- We may modify, enhance, or discontinue any part of the Services at any time, without liability to you.

4. Acceptable Use

You agree NOT to:

- Use the Services for unlawful, harmful, fraudulent, or misleading purposes.

- Upload or transmit viruses, malware, or harmful code.

- Interfere with or disrupt the security, availability, or performance of the Services.

- Reverse-engineer, decompile, or attempt to access the source code of our platform.

- Use the Services to send unsolicited bulk messages (“spam”) or harass individuals.

Violation of these rules may result in suspension or termination of your account without refund.

5. Client & End-User Data

- You are solely responsible for obtaining any necessary consents from your clients before storing or processing their personal data through KeystoneWorx.

- You retain ownership of all data you upload.

- By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and transmit your data as necessary to operate the Services.

6. Fees, Billing & Payment Terms

- All fees are stated in U.S. dollars and are payable in advance for the selected subscription term unless otherwise agreed in writing.

- All payments are final and non-refundable, including but not limited to setup fees, subscription fees, training fees, and any add-on services, regardless of usage or termination date.

- By subscribing, you authorize us to automatically charge your payment method on file at the start of each billing cycle unless you cancel in writing at least 30 days before the next renewal date.

- It is your responsibility to ensure your payment method is valid and up to date.

- If payment fails, we may:

- Suspend or terminate your access immediately;

- Charge late fees at the maximum rate permitted by law;

- Pass on all costs of collection, including legal fees and third-party agency fees, to you.

- You agree not to dispute or charge back any valid charges without first providing us an opportunity to resolve the matter.

- Promotional offers, discounts, or trial periods are applied at our sole discretion and may be revoked at any time.

7. Service Availability & Disclaimer

- We strive to keep KeystoneWorx operational at all times but do not guarantee uninterrupted access.

- We are not responsible for downtime caused by internet issues, third-party providers, or circumstances beyond our control.

- KeystoneWorx is provided “as is” and “as available”, without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law:

- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, business opportunities, or reputation.

- Our total liability for any claim related to the Services will not exceed the amount you paid for the Services in the three (3) months prior to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless MedSpa Success, KeystoneWorx, and our officers, employees, and affiliates from and against any claims, damages, liabilities, and expenses arising from:

- Your use or misuse of the Services.

- Your violation of these Terms.

- Your violation of any laws or rights of a third party.

10. Intellectual Property

All software, designs, logos, trademarks, and content in KeystoneWorx are owned by Med Spa Success or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your business purposes.

You may not copy, modify, distribute, or create derivative works without our prior written consent.

11. Termination

We may suspend or terminate your account at any time if:

- You violate these Terms.

- You fail to pay required fees.

- We discontinue the Services.

Upon termination, your right to use the Services immediately ends. No refunds will be issued for any unused portion of your subscription.

We may retain backup copies of your data for a limited time before deletion.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

Any disputes must be resolved through binding arbitration in [Insert County, State], except for small claims or equitable relief.

13. Changes to Terms

We may update these Terms at any time. When we do, we will post the new version on our website with a revised “Effective Date.” Continued use of the Services after changes means you accept the updated Terms.
